Order

[99] The orders which I propose to make are as follows:

(1)

order that the deed of company arrangement dated 8 August 2003 entered into between the First Defendant and the Second Defendant be terminated forthwith pursuant to s 445D(1) CA;

(2)

order that the First Defendant be wound up pursuant to s 459A CA.

[100] I will stand the proceedings down to 3.00 pm today for argument as to the identity of the liquidator to be appointed and as to costs. At the conclusion of argument I will make orders finally disposing of the proceedings.
