Declaration of the value of unlisted shares

This document contains the approved form for a written report required for the purposes of paragraph 139FB(1)(a) of the Income Tax Assessment Act 1936 for employee share scheme shares acquired before 1 July 2009.

Under this paragraph, where shares provided under an employee share scheme which are not quoted on an approved stock exchange, the arm's length value of the shares can be determined by a registered company auditor (in the relevant State or Territory), who is not a:

a. director, secretary or employee of the company

b. partner, employer or employee of a person referred to in paragraph (a), or

c. partner or employee of an employee of a person so referred to.

This valuation must be provided in a written report in a form approved by the Commissioner. This report must be given to the person from whom the taxpayer acquires the shares.
